IMPORTANT: THIS END USER LICENSE AGREEMENT ("AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU ("LICENSEE," "USER," "YOU," OR "YOUR") AND WAVEDIVISION, LLC ("WAVEDIVISION," "WE," "US," OR "OUR"). BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SOFTWARE OR SERVICES, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE OR SERVICES.
Subject to your compliance with this Agreement and payment of applicable fees, WaveDivision grants you a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to:
WaveDivision offers the following License types, each with specific terms:
A duration-limited license (monthly or annual) to Use the Software and Services. Subject to applicable law, Subscription Licenses automatically renew for successive terms equal to the initial term unless:
AUTOMATIC RENEWAL NOTICE: Your Subscription will automatically renew and your payment method will be charged the then-current fee unless you cancel at least 24 hours before the end of the current billing period. You may cancel at any time through your Account settings or by contacting support@wavedivision.audio.
A short-term, free evaluation license with limited features and/or duration. Trial Licenses are provided for evaluation purposes only. WaveDivision reserves the right to set Trial License parameters, duration, and feature availability in its sole discretion. Trial Licenses may be limited to one per user or Device.
A license for demonstration purposes only, not for production audio processing. NFR Licenses are granted at WaveDivision's sole discretion.
A license to participate in WaveDivision's beta or early release programs. Beta Software:
You are strongly encouraged to back up all data before using Beta Software.
Each License authorizes Use on a per-Device basis, not per user, site, or organization. If you Use the Software on multiple Devices simultaneously, you must purchase a separate License for each Device.
The Software and Services are licensed, not sold. This Agreement conveys no ownership interest in the Software, Services, or any intellectual property.
You agree that you will not, and will not enable others to:
Any use outside the scope of this Agreement constitutes a material breach and may result in immediate termination.
Certain features of the Software or Services require a paid Subscription. Fees are charged in advance for the applicable billing period.
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period unless you cancel before the renewal date. You authorize WaveDivision to charge the then-current fee to your payment method on file.
To cancel auto-renewal:
WaveDivision may modify Subscription fees upon 30 days' notice. Continued use after the price change effective date constitutes acceptance. If you do not accept a price change, you may cancel before the next renewal.
Fees are non-refundable except:
Refunds are limited to amounts received by WaveDivision, excluding third-party fees (payment processors, banks, currency conversion). One refund per customer.
Failure to pay fees when due may result in suspension or termination of your License and access to Services.
Use of the Software and Services may require a registered Account. You are responsible for:
Your Account is personal to you. You may not:
WaveDivision may suspend your Account (without termination) pending investigation if we reasonably believe:
You may delete your Account at any time, but doing so will terminate your access to the Software and Services. WaveDivision may retain data as described in our Privacy Policy.
The Software requires activation before Use. Activation is used to:
Activation may transmit the following to WaveDivision:
You consent to this transmission. If electronic transmission is not possible, you agree to provide this information upon request.
Certain features, including activation, license validation, and updates, require internet connectivity. The Software may connect to the internet in the background without prior notification.
WaveDivision may, at any time and without notice:
Features that depend on the Services (cloud processing, AI features, license validation) may be modified, suspended, or discontinued independently of locally installed Software components. WaveDivision shall have no liability for changes to cloud-dependent features.
WaveDivision does not guarantee that updates will be backward compatible or that the Software will operate on Devices or operating systems released after your initial License purchase.
The Software and Services may include AI-assisted features for audio processing, analysis, or content generation.
As between you and WaveDivision, you own all Output generated from your User Content through the Software or Services, subject to any third-party rights in your User Content.
WaveDivision claims no ownership of Output generated from your User Content.
You grant WaveDivision a non-exclusive, royalty-free license to use anonymized, aggregated data derived from your use of AI features to develop and improve the Software and Services. This does not include your User Content or identifiable Output.
AI features are provided "AS IS." WaveDivision does not warrant that AI-generated Output will be accurate, appropriate, or fit for any purpose.
You are solely responsible for your User Content, including its legality, accuracy, and appropriateness. You may not use the Software or Services with User Content that:
As between you and WaveDivision, you retain all rights in your User Content.
You grant WaveDivision a non-exclusive, royalty-free license to use your User Content solely to:
The Software and Services may collect technical, diagnostic, and usage data, including:
Collected data is used to:
All data collection and use is governed by WaveDivision's Privacy Policy, available at our website, which is incorporated herein by reference.
Certain data may be processed locally on your Device and never transmitted to WaveDivision.
WaveDivision does not guarantee that the Services will be available at all times, without interruption, or error-free.
Access to Services may be suspended or limited due to:
No service level agreement is provided unless expressly agreed in a separate written agreement.
Subscription Licenses include access to WaveDivision's technical support and maintenance services, including Software updates and bug fixes.
Support is provided for the current version of the Software. WaveDivision may cease support for prior versions upon 60 days' notice.
WaveDivision does not guarantee resolution of all issues or compatibility with all systems, workflows, or third-party software.
WaveDivision and its licensors retain all right, title, and interest in and to:
No rights are transferred except as expressly granted in this Agreement.
If you provide suggestions, ideas, or feedback regarding the Software or Services, you grant WaveDivision a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution.
The Software may contain components derived from third-party materials ("Third-Party Materials"). Your use of Third-Party Materials is subject to their respective license terms.
WaveDivision's right to provide Third-Party Materials may terminate automatically upon discontinuation by the third party, without liability to you.
The Software may integrate with third-party services. Your use of such services is subject to their terms and privacy policies. WaveDivision is not responsible for third-party services.
If you obtained the Software through the Apple App Store ("App"):
THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WAVEDIVISION AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION:
WAVEDIVISION DOES NOT WARRANT THAT:
YOU ASSUME ALL RISK FOR SELECTION AND USE OF THE SOFTWARE AND SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WAVEDIVISION, ITS LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:
EVEN IF WAVEDIVISION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVEDIVISION'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE LESSER OF:
THE LIMITATIONS IN THIS SECTION REFLECT AN ALLOCATION OF RISK BETWEEN THE PARTIES, ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN, AND SHALL APPLY REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE.
THESE LIMITATIONS SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You will indemnify, defend, and hold harmless WaveDivision and its officers, directors, members, employees, and affiliates from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
You may not settle any claim that affects WaveDivision's rights or imposes obligations on WaveDivision without WaveDivision's prior written consent.
WaveDivision reserves the right, at its expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with WaveDivision.
You may not use, export, or re-export the Software to any country, entity, or person prohibited by:
You represent and warrant that:
The Software is not fault-tolerant and is not designed, manufactured, or intended for use in hazardous environments requiring fail-safe performance.
You may not use the Software in any application where failure could lead to:
Including but not limited to: aircraft operation, air traffic control, nuclear facilities, life support systems, emergency services, or weapons systems ("High-Risk Use").
You agree to indemnify WaveDivision from any claims arising from High-Risk Use.
The Software is a "Commercial Item" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." The Software is licensed to U.S. Government end users:
This Agreement is effective upon your acceptance and continues until terminated.
You may terminate this Agreement at any time by:
WaveDivision may suspend or terminate this Agreement immediately, without notice, if:
Upon termination:
The following sections survive termination: Definitions, License Restrictions, Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, Export Restrictions, High-Risk Use, Dispute Resolution, Governing Law, and any other provisions that by their nature should survive.
Before initiating arbitration, you agree to contact WaveDivision at support@wavedivision.audio to attempt informal resolution. Most disputes can be resolved without formal proceedings.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the Software or Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules.
Arbitration shall take place in Davidson County, Tennessee, unless the parties agree otherwise.
Each party shall bear its own costs. Arbitration fees shall be allocated as determined by the arbitrator or AAA rules.
The arbitrator shall have exclusive authority to resolve all disputes, including arbitrability. The arbitrator's decision shall be final and binding.
The following are excluded from arbitration:
YOU AND WAVEDIVISION AGREE THAT ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate claims or preside over any class, consolidated, or representative proceeding.
If the class action waiver in Section 24.7 is found unenforceable, the arbitration agreement shall remain in effect for individual claims. If any part of this arbitration provision is found unenforceable, the remaining provisions shall remain in effect.
TO THE EXTENT PERMITTED BY LAW, YOU AND WAVEDIVISION WAIVE ALL RIGHTS TO A JURY TRIAL.
Any claim must be brought within one (1) year after the claim arises or be permanently barred.
This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.
The following are expressly excluded:
Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee. The parties consent to personal jurisdiction and venue in such courts.
WaveDivision may, at its expense and upon reasonable notice, audit your use of the Software to verify License compliance, no more than once per twelve (12) month period. Audits shall be conducted during regular business hours with minimal disruption.
If an audit reveals unauthorized use exceeding five percent (5%) of licensed usage, you shall pay:
During the term of this Agreement, you grant WaveDivision the right to identify you as a customer in marketing materials and customer lists, unless you opt out in writing.
WaveDivision shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, internet or telecommunications failures, or infrastructure failures.
This Agreement constitutes the entire agreement between you and WaveDivision regarding the Software and Services and supersedes all prior agreements, representations, and understandings.
This Agreement may only be modified by:
If you do not agree to updated terms, your sole remedy is to terminate this Agreement. Continued use after notice of updated terms constitutes acceptance.
No waiver of any provision shall be effective unless in writing. Failure to enforce any provision shall not constitute a waiver.
If any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall remain in full force and effect.
You may not assign or transfer this Agreement or any rights hereunder without WaveDivision's prior written consent. WaveDivision may assign this Agreement without restriction. Any attempted assignment in violation of this section is void.
Except as expressly stated (e.g., Apple for App Store apps), this Agreement does not create third-party beneficiary rights.

Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship.
